1. Acceptance of Terms

By accessing or using any product, platform, or service provided by OceanLabs ("Company," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you are using our services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to "you" will refer to that organization.

If you do not agree with any part of these Terms, you must discontinue use of our services immediately.

2. Description of Service

OceanLabs provides a Sales CRM platform ("Service") designed to help sales teams manage leads, track pipelines, coordinate outreach, and analyze performance data. The Service is provided on a subscription basis and may be updated, modified, or discontinued at our sole discretion with reasonable notice.

Features and capabilities may vary depending on the subscription plan associated with your account. OceanLabs reserves the right to introduce new features, modify existing features, or retire functionality as the platform evolves.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use our Service. By using the Service you represent that you meet these requirements. The Service is intended solely for business and professional use; it is not directed to or designed for personal, family, or household purposes.

4. User Accounts

• —Invitation-only access. Accounts are created exclusively through an invitation issued by an OceanLabs administrator. You may not self-register or share invitation links with third parties.
• —Credentials. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at security@oceanlabs.io if you suspect unauthorized access.
• —Accurate information. You agree to provide accurate, current, and complete information during onboarding and to keep it updated.
• —One account per user. Each user may hold only one active account. Sharing accounts is prohibited.

5. Acceptable Use

You agree to use the Service only for lawful business purposes and in accordance with these Terms. The following conduct is expressly prohibited:

• —Uploading, transmitting, or storing content that is unlawful, infringing, defamatory, or otherwise objectionable.
• —Attempting to gain unauthorized access to any part of the Service or its underlying infrastructure.
• —Reverse-engineering, decompiling, or disassembling any portion of the Service.
• —Using the Service to send unsolicited commercial communications (spam) in violation of applicable law.
• —Scraping, crawling, or systematically extracting data from the Service without prior written consent.
• —Introducing viruses, malware, or any other harmful code into the Service.
• —Using the Service to process personal data of individuals without a lawful basis under applicable data protection law.

Violation of this section may result in immediate account suspension or termination without refund.

6. Intellectual Property

The Service, including all software, algorithms, designs, logos, trademarks, and content created by OceanLabs, is and remains the exclusive property of OceanLabs and its licensors. These Terms do not grant you any ownership rights in the Service.

Subject to these Terms, OceanLabs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations.

Any feedback, suggestions, or ideas you provide regarding the Service may be used by OceanLabs without restriction or compensation to you.

7. Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the data practices described therein.

Your data. You retain ownership of all data you upload or generate within the Service ("Customer Data"). You grant OceanLabs a limited license to process Customer Data solely to provide and improve the Service.

Data security. OceanLabs implements commercially reasonable technical and organizational measures to protect Customer Data. However, no system is completely secure, and we cannot guarantee absolute security.

Data retention. Upon account termination, Customer Data will be retained for 30 days to allow export, after which it will be permanently deleted from our systems.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. This obligation does not apply to information that: (a) is or becomes publicly available without breach of this section; (b) was rightfully known before receipt; or (c) is required to be disclosed by law or court order.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. OCEANLABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We do not warrant the accuracy, completeness, or usefulness of any information provided through the Service. Any reliance you place on such information is strictly at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OCEANLABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT WILL OCEANLABS'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO OCEANLABS IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100).

11. Indemnification

You agree to indemnify, defend, and hold harmless OceanLabs and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your Customer Data caused damage to a third party.

12. Termination

OceanLabs may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, non-payment of applicable fees, or cessation of the Service.

You may terminate your account at any time by contacting your administrator or by reaching out to support@oceanlabs.io.

Provisions of these Terms that by their nature should survive termination will survive, including sections on Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which OceanLabs is incorporated, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in that jurisdiction, and you consent to personal jurisdiction therein.

14. Changes to These Terms

OceanLabs reserves the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, by sending an in-app notification or email. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
